Six moments that deserve a tax plan

The documents may decide the tax result before the return is filed

A property decision can change basis, depreciation, passive losses, interest deductions, financing, entity reporting, estimated tax, and estate goals at the same time. We connect the pieces while choices remain.

01

Buying

Compare title, entity, financing, basis, placed-in-service timing, and the first depreciation plan.

02

Improving

Separate repairs from improvements and coordinate records, cost segregation, and depreciation timing.

03

Operating

Review cash flow, books, participation, passive losses, partner reporting, and tax-payment needs.

04

Refinancing

Evaluate debt structure, cash-out use, interest tracing, lender readiness, and after-debt cash flow.

05

Selling or exchanging

Model basis, gain, recapture, released losses, estimated tax, after-tax cash, and 1031 deadlines.

06

Transferring

Coordinate gifts, trusts, inheritance, partnership changes, estate goals, and California issues.

The full-picture review

One property decision. Six connected consequences.

We trace the decision through ownership, debt, tax, cash flow, and your longer-term estate plan. That turns a tax question into an action plan your attorney, lender, broker, qualified intermediary, and financial adviser can help implement.

Before selling an Irvine rental

What should an Irvine property owner review before selling appreciated rental property?

Reconcile adjusted tax basis and depreciation, estimate gain and after-tax cash, review suspended passive losses, and compare a taxable sale with a potential 1031 exchange. California tax, ownership, debt payoff, and your need for cash can change which path fits. Coordinate with your CPA, attorney, and qualified intermediary before closing if an exchange is being considered.

Illustration: gain before other tax adjustmentsA $1,500,000 sale less $90,000 of qualifying selling expenses produces a $1,410,000 net amount realized. Subtracting $650,000 of adjusted tax basis after depreciation produces $760,000 of realized gain.
Illustration: cash before income taxesThe same $1,410,000 net proceeds less a $400,000 loan payoff leaves $1,010,000 before income taxes and other cash adjustments. Loan payoff reduces cash; it does not replace adjusted tax basis in the gain calculation.

Simplified illustration only, not a client result or tax estimate. Assumes a straightforward sale with no other adjustments. Actual tax depends on gain character, depreciation-related treatment, possible net investment income tax, California adjustments, and usable losses. Federal and California basis may differ.

Taxable saleConsider this path when liquidity, diversification, or simpler ownership is the priority. Compare estimated tax with cash available for your next goal. Review suspended passive losses rather than assuming every loss is released.
Potential 1031 exchangeConsider this path when you intend to continue holding qualifying investment or business real property. A qualifying exchange generally defers gain. Cash, nonqualifying property, or net debt relief can cause current gain recognition. Replacement-property basis and financing need a separate calculation.

Two timing and California issues to address early

In a typical deferred exchange, identify replacement property within 45 days after transferring the relinquished property and receive it by the earlier of 180 days or the tax return due date, including extensions. Arrange the intermediary and proceeds handling before closing; taking control of sale proceeds can disqualify the intended exchange. Special rules and relief can apply.

Exchanging California property for out-of-state property does not erase California-source deferred gain. Form FTB 3840 is generally required for the exchange year and subsequent years until that gain is recognized, subject to the applicable filing rules.

Prepare for your planning review

Gather the expected sale price, selling costs, loan payoff, closing date, purchase and improvement records, depreciation and basis schedules, suspended-loss records, ownership documents, and current-year income. Explain how much cash you need and whether you intend to buy replacement property. Secure upload instructions are provided when records are needed.
